1. Preamble and Scope

These Terms of Service ("Terms") govern the use of services provided by Zereshk Society ("we", "us", "our", "the Society"), a premium matchmaking and lifestyle platform operated from Berlin, Germany. By accessing our website, submitting an application, or using any of our services, you ("User", "Member", "Applicant") agree to be bound by these Terms in their entirety.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany and applicable European Union regulations, including but not limited to the General Data Protection Regulation (GDPR), the Digital Services Act (DSA), and consumer protection legislation.

2. Definitions

• "Services" means all services offered by Zereshk Society, including matchmaking, style consultation, private events, pop-up experiences, and coaching services.
• "Platform" means our website, applications, and any digital interfaces through which Services are accessed.
• "Application" means the membership application submitted through our Platform.
• "Member" means a User whose Application has been accepted and who maintains active membership.
• "AI Analysis" means automated processing of User data using artificial intelligence systems for profile assessment and compatibility matching.

3. Eligibility and Membership

3.1 Age Requirement

Users must be at least 18 years of age to submit an Application or use our Services. By submitting an Application, you confirm that you meet this age requirement. We reserve the right to request proof of age at any time.

3.2 Application Process

Membership is by invitation or application only. Submission of an Application does not guarantee acceptance. All Applications undergo a multi-stage review process:

• Initial AI-powered profile analysis (1-3 business days)
• Manual review by our curation team (7-14 business days total)
• Final decision communicated via email within 14 business days

3.3 Right of Refusal

We reserve the absolute right to accept or reject any Application without providing reasons. This right exists to maintain the exclusive and curated nature of our community and does not constitute discrimination under applicable law.

4. Services and Features

4.1 Matchmaking Services

Our matchmaking services combine AI-powered compatibility analysis with human curation. While we endeavour to facilitate meaningful connections, we make no guarantees regarding the outcome of any introduction or the suitability of any match.

4.2 AI-Powered Features

By using our Services, you acknowledge and consent to the use of artificial intelligence systems for profile analysis and compatibility assessment. These systems process your provided information to generate compatibility scores and matching suggestions. You have the right to object to solely automated decision-making pursuant to Article 22 GDPR.

4.3 Events and Experiences

Access to private events, pop-up experiences, and networking functions is subject to availability and may require additional fees. Event-specific terms may apply and will be communicated prior to registration.

5. User Obligations and Conduct

5.1 Accuracy of Information

You warrant that all information provided in your Application and during your membership is true, accurate, current, and complete. Provision of false or misleading information constitutes a material breach of these Terms and grounds for immediate termination.

5.2 Code of Conduct

Members shall conduct themselves with respect and professionalism. The following behaviours are strictly prohibited:

• Harassment, discrimination, or abusive behaviour towards other Members or staff
• Misrepresentation of identity, profession, or circumstances
• Solicitation for commercial purposes without prior written consent
• Sharing of confidential information about other Members
• Any activity that violates applicable laws or regulations

5.3 Confidentiality

The identity of Members, details of matches, and information shared within the community are strictly confidential. You agree not to disclose such information to third parties without explicit consent.

6. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on the Platform are the exclusive property of Zereshk Society or its licensors. No rights are granted to use any intellectual property without prior written consent. User-generated content remains the property of the User, subject to a non-exclusive licence granted to Zereshk Society for service delivery purposes.

7. Limitation of Liability

7.1 Service Provision

Services are provided "as is" and "as available". While we strive for excellence, we make no warranties regarding the availability, accuracy, or fitness for purpose of our Services. We do not guarantee any particular outcome from use of our matchmaking services.

7.2 Limitation of Damages

To the maximum extent permitted by law, our liability for any claims arising from or related to these Terms or our Services shall be limited to the amount of fees paid by you in the twelve (12) months preceding the claim. This limitation does not apply to liability arising from gross negligence (grobe Fahrlässigkeit), wilful misconduct (Vorsatz), or injuries to life, body, or health.

7.3 Third-Party Conduct

We are not liable for the conduct, actions, or omissions of Members or third parties. You acknowledge that interactions with other Members are at your own risk.

8. Termination

8.1 Termination by User

You may terminate your membership at any time by providing written notice to hello@zereshksociety.com. Termination does not entitle you to a refund of any fees paid.

8.2 Termination by Zereshk Society

We may terminate or suspend your membership immediately and without prior notice for breach of these Terms, inappropriate conduct, or any other reason at our sole discretion. In cases of termination for cause, no refund shall be due.

8.3 Effect of Termination

Upon termination, your access to Services will cease immediately. Provisions relating to confidentiality, intellectual property, limitation of liability, and dispute resolution shall survive termination.

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

9.2 Jurisdiction

For Users who are consumers within the meaning of § 13 BGB (German Civil Code), the courts at your place of domicile shall have jurisdiction. For all other Users, the exclusive place of jurisdiction shall be Berlin, Germany.

9.3 Alternative Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform accessible at https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle).

10. Amendments

We reserve the right to amend these Terms at any time. Material changes will be communicated to Members via email at least thirty (30) days before taking effect. Continued use of Services after the effective date constitutes acceptance of the amended Terms. If you do not agree to any amendments, you may terminate your membership pursuant to Section 8.1.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific Services, constitute the entire agreement between you and Zereshk Society and supersede all prior agreements, representations, and understandings.
